Definitions :
You : submitter
We/Us : Irwin Industrial Tools GMbH
Idea : the idea submitted to Us through this “innovation process”
1. You warrant that You are the owner or authorized agent of the Idea and that You are legally entitled to disclose the Idea and to transfer any right on the Idea to Us.
2. The Idea is patented or a patent application has been filed for the Idea.
3. You agree to submit Us the Idea by completing the Idea submission form in an honest and complete manner. Any error or not fully completed Idea submission form may be rejected at our discretion.
4. You are submitting the Idea to Us on a non-confidential basis. No confidentiality confidential relationship will be established between You and Us in connection with your Idea. We have the unrestricted right to use and disclose any submitted information.
5. The submission by You of the Idea through our Innovation Process does not create any contractual relationship between You and Us. We have no obligation to accept the Idea or to compensate you for the submission of the Idea.
6. You allow us to use the Idea and disclose it in order to assess our interest in the Idea.
7. You are at least 18 years old (should You be under 18, please send us an email at the following address and we will send you a specific document to be signed by your parents or legal guardians).
8. This Submission Agreement constitutes the entire agreement between You and Us regarding the Idea.
9. This Submission Agreement will be governed by the laws of Germany
